Trustee Resignations Hugh Goggin and Brian Reece

Adopted by Written Resolution of the Trustees

    RECITALS

    A. PeaceKeepers Foundation operates on fiduciary principles of transparency, evidence-based decision-making, and collective governance.

    B. Internal disputes arose in November 2025 concerning governance process and belief frameworks, during which no final determination or verdict was issued.

    C. Two Trustees resigned prior to any final decision being made.

    RESOLUTIONS

    1. Resignation of Hugh Goggin
1.1 The Board formally records that Hugh Goggin resigned as a Trustee on 21 December 2025, immediately prior to Brian's proposed internal determination that did not occur.

1.2 No adverse finding, verdict, or decision was issued against any Trustee at that time.

    2. Resignation of Brian Reece

2.1 The Board formally records that Brian Reece resigned as a Trustee on 3 January 2026, prior to a scheduled trustees’ meeting on 4 January 2026, of which he had been notified and invited to attend.

2.2 The resignation was voluntary and based on a difference of belief and approach, particularly regarding whether PeaceKeepers should mandate Brian's specific theological framework.

2.3 No removal decision, disciplinary finding, or adverse determination had been made at the time of resignation.

    3. Mission and Objects

3.1 The Board reaffirms that PeaceKeepers’ objects and mission remain unchanged.

3.2 PeaceKeepers is not a religious organisation and does not require adherence to any spiritual, philosophical, or theological belief.

3.3 PeaceKeepers’ work is grounded in:

    evidence and reason,

    law and precedent,

    equity, conscience, and accountability.

    4. Governance and Process

4.1 The Board records that recent disputes arose primarily from Brian's specific theological framework, his process, and governance concerns, including issues of procedure, transparency, and collective decision-making.

4.2 No final verdict or determination was issued against any Trustee in relation to those disputes.

4.3 The Board resolves to continue developing agreed dispute-resolution procedures consistent with fiduciary duties and principles of fairness and transparency.

    5. Digital Platforms (Record Only)

5.1 The Board notes that certain digital platforms previously used to host PeaceKeepers content were operated via Brian's personal accounts not owned or controlled by PeaceKeepers.

5.2 Brian has made all the PeaceKeepers materials private and rebranded the site, and retained all PeaceKeeper subscribers for his purposes, and any related GDPR and Privacy issues must be taken up with Brian.

5.3 PeaceKeepers is taking steps to ensure that its materials are hosted on platforms directly controlled by the organisation. Once created subscribers will need to resubscribe.

    6. Data Protection

6.1 The Board acknowledges receipt of data protection notices from Brian Reece.

6.2 PeaceKeepers will comply with applicable data protection obligations while retaining lawful records necessary for governance, accountability, and legal purposes.

6.3 PeaceKeepers despite assertions of mission change or misrepresentation remain as original.

    7. Adoption and Publication

7.1 This Resolution is adopted as an accurate record of the Board’s position.

7.2 The Resolution is approved for:

    service on former Trustees, and

publication on the PeaceKeepers website as part of its transparency obligations.

    PeaceKeepers Trustee Resolution: PK – GDPR - 2026- 02

    Resolution date: 01/02/2026

Trustee Resignations, Governance Records, GDPR and Trust-Based Transparency

Former Trustees concerned: Hugh Goggin and Brian Reece

    WHEREAS

    1. Resignations
The PeaceKeepers Foundation received written notices of resignation from Hugh Goggin and Brian Reece, each resigning from their roles as trustees, and the cessation of trusteeship was recorded accordingly.
    2. Nature of the Foundation’s Role
The Board recognises that the PeaceKeepers Foundation is not itself the trust, but acts as the holder and administrator of funds and assets subject to trust-based obligations, including public educational and supporting materials and platforms created and relied upon prior to incorporation.
    3. Trust-Affected Resources
Prior to incorporation, the PeaceKeepers website, YouTube channels, and associated supporting materials were:

      • presented as community educational and supporting resources governed by stated objectives, ethos, and posting guidelines;
      • relied upon by participants and contributors as evidence-based learning tools; and
      • developed through collective contribution, feedback, moderation, and reliance for the benefit of the whole.

The Board determines that these circumstances give rise to constructive and voluntary-association trust-like obligations, requiring that such resources be administered consistently with their stated purpose and with transparency to beneficiaries.

    1. Fiduciary Duty of Disclosure
In holding and administering those trust-affected resources, the Board has a fiduciary duty to ensure:

      • accuracy of governance records;
      • transparency as to responsibility and authority; and
      • non-misrepresentation to beneficiaries, funders, and participants.
    2. Pre-Resignation Trustee Discussions
Prior to their resignations, both Hugh Goggin and Brian Reece participated in discussion within the PeaceKeepers trustee Telegram group, raising concerns relating to organisational direction and governance while acting in their capacities as trustees.
    3. Post-Resignation Conduct (Hugh Goggin)
Following his resignation, Hugh Goggin continued to express and advance those concerns within the PeaceKeepers public Telegram group and the NOCNOC Telegram group, linking those concerns to his resignation.
    4. Post-Resignation Conduct (Brian Reece)
Following his resignation, Brian Reece did not participate in the PeaceKeepers or NOCNOC Telegram groups, but issued a public resignation statement in video form via a YouTube channel previously used to publish PeaceKeepers educational and other materials, whose subscriber audience had been established while that channel was operated in connection with PeaceKeepers which he repurposes for his personal new “Genesis Trust” project.
    5. Continuity of Audience and Platform Guidance
The post-resignation communications by each former trustee were conveyed to audiences established through PeaceKeepers platforms and activities and were used to assert a fundamental philosophical divergence and to characterise the Foundation’s direction as involving dangerous consequences.
    6. Subsequent Platform Linking (Brian Reece)
On or about 12 January 2026, Brian Reece placed a hyperlink to a new PeaceKeepers YouTube channel on the home page of the former PeaceKeepers You tube channel which Brian Reece repurposed for his new “Genesis Trust” project, and subsequently removed that hyperlink from the home page, such that access thereafter required viewers to navigate through and select individual videos.
    7. Risk of Misunderstanding
The combination of trustee-level discussions, post-resignation public communications, continuity of audience, and changes in platform presentation created a foreseeable risk of misunderstanding among beneficiaries, funders, and participants as to governance, continuity of purpose, and stewardship of trust-affected educational and supporting resources and public pledges.
    8. Statement of Facts
The Board caused a Statement of Facts and governance chronology to be compiled and published, setting out the factual sequence of events supported by primary source materials.
    9. Initial Opportunity to Be Heard
In accordance with principles of natural justice and procedural fairness, both Hugh Goggin and Brian Reece were invited to:

      • review the Statement of Facts;
      • identify any alleged factual inaccuracy; and
      • submit evidence-based objections supported by primary evidence,

with any such objections and supporting evidence to be linked and published alongside the Statement of Facts.

    1. Response from Hugh Goggin
Hugh Goggin responded with “No Comment” and did not identify any factual inaccuracy or submit supporting evidence.
    2. Response from Brian Reece
Brian Reece responded but did not provide any clarification or correction identifying factual inaccuracy.
    3. Further Opportunity to Correct the Record
Prior to the meeting of the remaining trustees, and in the interests of fairness and completeness, a further opportunity was afforded to both Hugh Goggin and Brian Reece to provide any concise clarification or correction limited to factual accuracy, within a specified time.
    4. Expiry of Opportunity to correct the Record
      No further response was received.
    5. Consideration of GDPR Obligations
The Board considered its obligations under the Data Protection Act 2018 and UK GDPR, including Articles 5, 6, and 17, having regard to accuracy, fairness, transparency, necessity, and proportionality.

    IT WAS RESOLVED THAT

    1. Accuracy of Governance Record
The Statement of Facts and associated governance chronology constitute an accurate record of trustee resignations and related governance events, subject only to correction of any proven factual inaccuracy supported by evidence.
    2. Publication of Resignation Records
The resignation correspondence and factual chronologies shall remain published as part of the Foundation’s historical governance record relating to trust-affected educational and supporting resources.
    3. Purpose of Publication
Publication is for the purpose of:

      • maintaining accuracy and transparency;
      • preventing misrepresentation to beneficiaries and participants; and
      • discharging fiduciary duties of disclosure in respect of trust-affected resources.
    4. No Endorsement or Adjudication of Belief
No endorsement, commentary, or inference is made regarding the personal beliefs, motives, or character of either former trustee.
    5. Data Protection Compliance
The Board determines that continued publication of the governance record is lawful and proportionate under the Data Protection Act 2018 and UK GDPR, and that the right to erasure does not apply where publication is necessary for accuracy, transparency, and the proper administration of trust-affected resources considering the repurposing of the previous PeaceKeepers Youtube channel and threats of litigation received.
    6. Completion of Due Process
Having afforded both former trustees a reasonable and proportionate opportunity to identify factual inaccuracies, and no such inaccuracies having been substantiated, the Board records that the due-process stage relating to factual correction is complete.
    7. Future Corrections
Nothing in this Resolution prevents correction of the governance record should any specific, evidenced factual inaccuracy be identified in future.

    CONFIRMATION

This resolution reflects the determination of the Board following due process and is adopted to ensure lawful governance, trust-based transparency, and informed understanding by beneficiaries.

Signed on behalf of the Board
